A Limited Liability Company (LLC / TOV) is currently one of the most common forms of business entity in Ukraine. Any individual or legal entity, both residents and non-residents, can open an LLC. One of the main advantages of an LLC as a business structure is that its founders carry liability only within the limits of their contributions to the authorized capital. Additionally, an LLC can be sold as an operating business with all its assets.

AUTHORIZED CAPITAL OF AN LLC

Ukrainian legislation does not set a minimum requirement for the authorized capital of an LLC, meaning it can technically be set at 1 UAH, though this may negatively impact the perception of the company's credibility among counterparties. Contributions to the authorized capital can be made in cash, securities, or property (movable, immovable, or property rights). The authorized capital can be increased or decreased during the course of business operations.

COMPANY NAME

It is recommended that your LLC's name is concise, aligns with your business activities, is easy to remember, and creates a positive impression with clients.

However, specific legal requirements must also be met::

The name must consist of the legal form (in this case, "Limited Liability Company" or "LLC") and the title in Ukrainian (an English title is optional);
In addition to its full name, an LLC may have a shortened name;
The name must be unique (identical names for two different legal entities are permitted only if they have different legal forms).

Prohibitions:

Using terms, abbreviations, or derivatives that could be confused with state or local government bodies;;
Using Nazi or Communist regime symbols;
Indicating an affiliation with central executive bodies or ministries within the name.

BUSINESS ACTIVITY CODES (KVED)

According to Ukrainian law, a legal entity has full freedom in choosing the scope and number of its business activity codes (KVED). However, certain activities require a license.

You can include all planned or potential future activities in the LLC's Articles of Association to avoid making future amendments. You must specify which activities will be primary, as these will be reflected in the Unified State Register.

REGISTERED ADDRESS (LEGAL ADDRESS)

When registering an LLC, a legal address must be specified. This can be the actual operational address, the residential address of one of the founders or directors, or a leased legal address.

The legal address is primarily used for communication with the Tax Service of Ukraine, ensuring authorities know where to send official correspondence or conduct inspections.

You can commence business activities immediately following state registration. Initially, the business entity will be placed on the general tax system; single tax status or VAT registration can be applied and activated starting the following month.
